Acceptance Of Terms
By accessing or using RecordBinder, you agree to these Terms. If you use RecordBinder on behalf of a company or organization, you represent that you have authority to bind that organization.
Description Of RecordBinder
RecordBinder is a documentation and workflow tool for defining compliance requirements, assigning work, collecting evidence, verifying submissions, preserving history, and preparing exports.
Accounts And Responsibilities
Users must provide accurate account information, keep credentials secure, use only authorized accounts, and promptly notify RecordBinder of suspected unauthorized access.
Company administrators and owners are responsible for inviting users, assigning roles, configuring scopes, and confirming that account activity is appropriate for their organization.
Acceptable Use
You may not use RecordBinder to violate law, infringe rights, upload malicious content, attack or disrupt the service, bypass access controls, probe unauthorized systems, or submit content you do not have the right to process.
Customer Data And Uploaded Content
Customers retain ownership of their company data, uploaded documents, checklist responses, evidence, assignments, verification activity, and related records. RecordBinder receives the limited license needed to host, process, secure, transmit, display, and otherwise operate the service for the customer.
Customers are responsible for the accuracy, legality, retention decisions, classification, and use of uploaded content and workflow records.
Compliance Disclaimer
RecordBinder is a documentation and workflow tool. It does not provide legal, regulatory, safety, accounting, tax, certification, or other professional advice. Customers remain responsible for understanding and satisfying their own compliance obligations.
Subscriptions, Billing, Beta, And Trials
RecordBinder may be offered during beta, trial, pilot, or early access periods. Features, limits, availability, and pricing may change as the product develops.
Paid subscription billing is not represented as active by these Terms. If paid billing is enabled, subscription terms, taxes, renewal, cancellation, and payment processing may be handled through a billing provider such as Stripe and additional order terms.
Suspension And Termination
RecordBinder may suspend or terminate access for security risk, misuse, nonpayment where billing applies, legal requirements, or material breach of these Terms. Customers may stop using the service and request export or deletion subject to retention and legal limits.
Data Export And Retention
RecordBinder is designed to preserve compliance history. Export and deletion requests will be handled according to available product functionality, customer authorization, legal requirements, and operational retention needs.
Intellectual Property
RecordBinder and its software, design, documentation, and service materials are owned by RecordBinder or its licensors. These Terms do not transfer ownership of RecordBinder intellectual property.
Confidentiality
Each party should use reasonable care to protect non-public information received through the service or related business communications and use it only for authorized purposes.
Third-Party Services
RecordBinder may rely on third-party infrastructure and services, including hosting, database, storage, authentication, email, and future payment providers. Third-party services may be governed by their own terms and privacy practices.
Service Availability
RecordBinder aims to provide a reliable service, but availability, feature operation, and data processing may be affected by maintenance, beta changes, third-party services, network issues, or events outside RecordBinder control.
Warranty Disclaimer
To the maximum extent permitted by law, RecordBinder is provided without warranties of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Limitation Of Liability
To the maximum extent permitted by law, RecordBinder will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption.
Indemnity
Customers agree to defend and indemnify RecordBinder from claims arising from customer data, uploaded content, unauthorized use, violation of these Terms, or violation of law or third-party rights, to the extent permitted by law.
Governing Law And Venue
Unless a written agreement states otherwise, these Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Venue for disputes will be in the state or federal courts located in Texas.
Changes To Terms
RecordBinder may update these Terms as the service changes. Updated Terms will be posted on this page with a revised last updated date. Continued use after changes become effective means you accept the updated Terms.
